Abstract
A little more than ten years have passed since the entry into force of the Regulation on the Statute of a European company, which provided a European company, as a form of supranational legal entities, with legal capacity of the European, not national origin. This article deals with organizational and legal preconditions for the creation of European companies. It examines the sources of legal regulation and ways of foundation of European companies, considers the problem of choosing the governance structure and participation of the employees in the European company management, which is set out in the Directive, complementing the Regulation. The advantages and drawbacks of the European companies, which define their current effectiveness in entrepreneurial activity, are analysed in detail. The author also identifies potential areas of legal changes required for further development of European companies.
